1. Acceptance of Terms

By accessing or using IronOS ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users, including gym owners, members, and visitors.

2. Description of Services

IronOS provides gym management software including member management, billing and payment processing, door access control, and related services. We also offer consulting and setup services for gym owners.

3. User Accounts

Account Creation

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Account Responsibilities

  • You are responsible for all activity under your account
  • You must be at least 18 years old to create an account
  • You agree to notify us immediately of any unauthorized access
  • We reserve the right to suspend accounts for violations of these terms

4. For Gym Owners

Your Responsibilities

  • Maintain valid business licenses and insurance
  • Ensure your facility meets all safety and regulatory requirements
  • Provide accurate information about your gym and services
  • Handle member disputes and customer service appropriately
  • Comply with all applicable laws regarding membership contracts

Billing and Payments

You are responsible for setting your own membership prices and terms. Payments are processed through Stripe, and you agree to their terms of service. IronOS charges a platform fee as specified in your service agreement.

5. For Members

Membership Terms

Your gym membership is with the individual gym operator, not IronOS. Membership terms, pricing, and cancellation policies are set by each gym. IronOS provides the technology platform but is not a party to your membership agreement.

Facility Access

  • Access is contingent on active membership and payment status
  • You agree to follow gym rules and guidelines
  • Do not share or transfer your access credentials
  • Access may be revoked for policy violations

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Platform's operation
  • Upload malicious code or content
  • Impersonate another person or entity
  • Violate any third party's intellectual property rights

7. Intellectual Property

The Platform, including its design, features, and content, is owned by IronOS and protected by intellectual property laws. You may not copy, modify, or distribute our Platform without permission.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT:

  • The Platform will be uninterrupted or error-free
  • Defects will be corrected
  • The Platform is free of harmful components

Physical Activity Disclaimer: IronOS is a software platform. We are not responsible for injuries or accidents that occur at gym facilities. Use of gym equipment and participation in physical activities is at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRONOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

10. Indemnification

You agree to indemnify and hold harmless IronOS and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

11. Termination

We may terminate or suspend your account at any time for violations of these terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms and changing the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the new terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Minnesota, without regard to conflict of law provisions.
